here is what the PH 3.5 has to say about flat-footed
Flat-Footed: At the start of a battle, before you have had a chance to act (specifically, before your first regular turn in the initiative order), you are flat-footed. You can’t use your Dexterity bonus to AC (if any) while flat-footed. (This fact can be very bad for you if you’re attacked by rogues.) Barbarians and rogues have the uncanny dodge extraordinary ability, which allows them to avoid losing their Dexterity bonus to AC due to being flat-footed. A flat-footed character can’t make attacks of opportunity.
this leads me to belive that your flat-footed AC is jsut your normal AC minus you dex correct?
so this would be correct 16 (–2 size, +1 Dex, +7 natural),touch 9, flat-footed 15
and this would also be correcT? 18 (–2 size, +3 Dex, +7 natural), touch 11, flat-footed 15
is there something im missing to this? some part of me is telling me that i am forgetting something but i cant tell what it is.

Dodge bonuses. Although, you must read the description. I think there are some that allow you to keep the AC bonus. Most do not let you keep the bonus.
